1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the SkillPass website, mobile application, and related services (collectively, the “Service”) provided by Future Data Ltd.

By creating an account or using SkillPass, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are a consumer located in the European Union or Italy, you may have additional rights under applicable consumer protection law, including the Italian Codice del Consumo (Legislative Decree 206/2005) and EU Directive 2011/83/EU on Consumer Rights. Nothing in these Terms limits those rights.

SkillPass is an AI-powered driving test preparation platform. It is an independent educational platform and is not affiliated with, endorsed by, or officially connected to the Italian Ministry of Infrastructure and Transport or any governmental authority, unless explicitly stated.

3. Eligibility and Accounts

To use SkillPass, you must:

• Be at least 13 years old (or the minimum age in your jurisdiction).
• Have the legal capacity to enter into a binding agreement.

By registering, you confirm you meet these requirements.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Please notify us immediately at hello@skillpassplatform.com if you believe your account has been compromised.

4. Consumer Rights — Right of Withdrawal (EU/Italian Users)

If you are an EU or Italian consumer and you purchase a paid subscription or digital content, you have a right of withdrawal (right to cancel) within 14 calendar days of purchase, without giving any reason, in accordance with EU Directive 2011/83/EU.

5. Exception: If you have expressly requested that we begin providing the digital service immediately and acknowledged that your right of withdrawal will be lost upon commencement of the service, the right of withdrawal will not apply once you begin using the paid service.

To exercise the right of withdrawal, please notify us within 14 days by email to hello@skillpassplatform.com with the subject line “Withdrawal Request.” We will process eligible refunds within 14 days of receiving your notice, using the same payment method as your original transaction.

Details of any applicable refund or cancellation terms will be clearly displayed at the point of purchase.

6. User Responsibilities and Acceptable Use

You agree to use SkillPass only for lawful purposes and in accordance with these Terms. You must not:

• Violate any applicable laws or regulations.
• Harass, abuse, threaten, or harm other users.
• Share illegal, hateful, discriminatory, or rights-infringing content.
• Attempt to gain unauthorized access to the Service or its systems.
• Reverse engineer, decompile, or extract source code (except where permitted by applicable law).
• Use the Service to develop or promote a competing product without our prior written permission.

We may suspend or terminate your account for violation of these Terms, following reasonable notice where required by law.

7. Educational Nature and No Guarantee of Exam Success

SkillPass content is provided for educational and practice purposes only. We do not guarantee that our questions or explanations are identical to any official exam questions, or that use of the Service will result in passing any driving license exam. Users should always consult official sources for current regulations.

8. Intellectual Property

All content on SkillPass — including text, graphics, logos, images, videos, AI-generated content, software, and design — is owned by Future Data Ltd or our licensors and is protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

You may not copy, modify, distribute, sell, lease, or otherwise exploit any part of the Service without our prior written permission (except as expressly permitted by law).

9. User-Generated Content

You may submit, upload, or share content such as messages, notes, and other material (“User Content”). By providing User Content:

• You retain ownership of your User Content.
• You grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and use your User Content solely to operate and improve the Service.
• You are responsible for ensuring your User Content does not infringe third-party rights or contain illegal, harmful, or offensive material.

We reserve the right (but are not obligated) to remove or restrict User Content that violates these Terms or applicable law.

10. Payments and Subscriptions

Where SkillPass offers paid plans or in-app purchases:

• Prices, payment terms, and subscription details will be shown clearly at the point of purchase, before you commit.
• Subscriptions may renew automatically unless cancelled before the renewal date.
• You will be reminded of upcoming renewals in advance.
• All prices include applicable taxes where required by law.
• EU/Italian consumer rights regarding withdrawal are set out above.
• You may cancel a subscription at any time through your account settings or by contacting hello@skillpassplatform.com.

11.Third-Party Services

SkillPass may link to or integrate with third-party services (such as payment processors, analytics, authentication, or AI tools). We are not responsible for the content, privacy practices, or terms of these third parties. Their use is subject to their own terms and policies.

12. Service Availability and Changes

We aim to keep the Service available and up to date, but we do not guarantee uninterrupted availability or freedom from errors. We may modify, update, or discontinue features at any time. Where changes materially affect your use of a paid service, we will provide reasonable advance notice.

13. Disclaimers

• The Service is provided on an “as is” and “as available” basis.
• We do not warrant that the Service will be error-free, secure, or uninterrupted.
• AI-generated content is for educational purposes and may not always be accurate.
• Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

14. Limitation of Liability

• We shall not be liable for indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim arising from use of the Service shall not exceed the total amount you paid in the 12 months preceding the event giving rise to the claim, or EUR 50 (whichever is greater).
• Consumer rights under Italian and EU law are not affected by this clause.

15. Dispute Resolution and Online Dispute Resolution (ODR)

• EU Online Dispute Resolution: In accordance with EU Regulation 524/2013, EU consumers may use the European Commission’s Online Dispute Resolution (ODR) platform for disputes arising from online contracts:https://ec.europa.eu/consumers/odr
• Alternative Dispute Resolution (ADR): We are committed to working with approved ADR entities where required by applicable law. Details will be provided upon request.
• Governing Law: These Terms are governed by the laws of England and Wales, except where mandatory consumer protection laws of your country of residence (including Italy) grant you greater rights, in which case those rights will apply.
• Jurisdiction: Disputes shall be subject to the non-exclusive jurisdiction of the courts of England and Wales, provided that EU/Italian consumers retain the right to bring proceedings in the courts of their country of habitual residence.

16. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email or in-app notice at least 30 days before the changes take effect. Your continued use after the effective date constitutes acceptance of the new Terms, except where applicable law requires explicit consent, in which case we will seek it separately.
